Article L214-63 of the French Monetary and Financial Code

As an exception to the first paragraph of Article L. 225-51-1, the first paragraph of Article L. 225-53 and the third paragraph of Article L. 225-59 of the Commercial Code, the functions of Managing Director, Deputy Managing Director, Chairman of the Management Board or Sole Managing Director are performed by the management company.

The management company appoints a permanent representative who is subject to the same conditions and obligations and incurs the same liabilities as if he were performing one of the functions mentioned in the first paragraph in his own name, without prejudice to the joint and several liability of the company he represents.

When it terminates the duties of its representative, the management company is required to replace him at the same time.

Par exception au premier alinéa de l’article L. 225-51-1, au premier alinéa de l’article L. 225-53 et au troisième alinéa de l’article L. 225-59 du code de commerce, les fonctions de directeur général, celles de directeur général délégué, celles de président du directoire ou de directeur général unique sont exercées par la société de gestion.

La société de gestion désigne un représentant permanent soumis aux mêmes conditions et obligations et encourant les mêmes responsabilités que s’il exerçait en son nom propre l’une des fonctions mentionnées au premier alinéa, sans préjudice de la responsabilité solidaire de cette société qu’il représente.

Lorsqu’elle met fin aux fonctions de son représentant, la société de gestion est tenue de pourvoir en même temps à son remplacement.
