Article L214-64 of the French Monetary and Financial Code

The société de placement à prépondérance immobilière à capital variable (open-ended real estate investment company with predominantly variable capital) and the management company are liable, each individually or jointly and severally as the case may be, to third parties or shareholders, either for breaches of the legislative or regulatory provisions applicable to open-ended real estate investment companies with predominantly variable capital, or for breaches of the company’s articles of association, or for their own misconduct.

La société de placement à prépondérance immobilière à capital variable et la société de gestion sont responsables, chacune individuellement ou solidairement selon le cas, envers les tiers ou envers les actionnaires, soit des infractions aux dispositions législatives ou réglementaires applicables aux sociétés de placement à prépondérance immobilière à capital variable, soit de la violation des statuts de la société, soit de leurs fautes.
