A société anonyme is managed by a Board of Directors consisting of at least three members. The Articles of Association set the maximum number of board members, which may not exceed eighteen.
The Board of Directors is composed by seeking a balanced representation of women and men.
However, in the event of the death, resignation or removal of the Chairman of the Board of Directors and if the Board has been unable to replace him with one of its members, it may appoint, subject to the provisions of Article L. 225-24, an additional director who is appointed to the role of Chairman.
