Article L225-253 of the French Commercial code

Any clause in the Articles of Association which has the effect of making the exercise of corporate action subject to the prior opinion or authorisation of the General Meeting, or which entails in advance a waiver of the exercise of such action, shall be deemed to be unwritten.

No decision of the General Meeting may have the effect of extinguishing an action for liability against the directors or against the Chief Executive Officer for fault committed in the performance of their duties.

Est réputée non écrite toute clause des statuts ayant pour effet de subordonner l’exercice de l’action sociale à l’avis préalable ou à l’autorisation de l’assemblée générale, ou qui comporterait par avance renonciation à l’exercice de cette action.

Aucune décision de l’assemblée générale ne peut avoir pour effet d’éteindre une action en responsabilité contre les administrateurs ou contre le directeur général pour faute commise dans l’accomplissement de leur mandat.
