Article L232-22 of the French Commercial code

I. – Every limited liability company is required to file with the court registry, for inclusion in the register of commerce and companies, within one month of the approval of the annual accounts by the ordinary meeting of shareholders or by the sole shareholder or within two months of such approval when such filing is made by electronic means:

1° The annual financial statements and, where applicable, the consolidated financial statements, the report on the management of the group, the statutory auditors’ reports on the annual financial statements and the consolidated financial statements, where applicable supplemented by their comments on the amendments made by the meeting or the sole member to the annual financial statements submitted to them;

2° The proposed appropriation of income submitted to the meeting or the sole member and the appropriation resolution voted on or the appropriation decision taken.

The management report must be made available to any person who requests it, in accordance with conditions defined by decree in the Conseil d’Etat.

II. – If approval or acceptance is refused, a copy of the deliberation of the meeting or the decision of the sole shareholder must be filed within the same period.

I. – Toute société à responsabilité limitée est tenue de déposer au greffe du tribunal, pour être annexés au registre du commerce et des sociétés, dans le mois suivant l’approbation des comptes annuels par l’assemblée ordinaire des associés ou par l’associé unique ou dans les deux mois suivant cette approbation lorsque ce dépôt est effectué par voie électronique :

1° Les comptes annuels et, le cas échéant, les comptes consolidés, le rapport sur la gestion du groupe, les rapports des commissaires aux comptes sur les comptes annuels et les comptes consolidés, éventuellement complétés de leurs observations sur les modifications apportées par l’assemblée ou l’associé unique aux comptes annuels qui leur ont été soumis ;

2° La proposition d’affectation du résultat soumise à l’assemblée ou à l’associé unique et la résolution d’affectation votée ou la décision d’affectation prise.

Le rapport de gestion doit être tenu à la disposition de toute personne qui en fait la demande, selon des conditions définies par décret en Conseil d’Etat.

II. – En cas de refus d’approbation ou d’acceptation, une copie de la délibération de l’assemblée ou de la décision de l’associé unique est déposée dans le même délai.
