Article L2353-32 of the French Labour Code

Once the number of seats on the management body concerned has been determined under the conditions set out in Article L. 2353-31, the European Company Committee shall ensure that they are allocated in proportion to the number of employees of the European Company employed in each Member State.

By way of derogation from these provisions, the committee shall ensure, as far as possible, that each Member State which had a participation system prior to the registration of the European Company is allocated at least one seat.

Dès lors que le nombre de sièges au sein de l’organe de gestion concerné a été déterminé dans les conditions prévues à l’article L. 2353-31, le comité de la société européenne veille à leur répartition, proportionnellement au nombre de salariés de la société européenne employés dans chaque Etat membre.

Par dérogation à ces dispositions, le comité assure, dans la mesure du possible, à chaque Etat membre disposant d’un système de participation avant l’immatriculation de la société européenne l’attribution d’au moins un siège.
