Article L2354-4 of the French Labour Code

If, after the registration of the European Company, changes occur in the structure of the company, the location of its registered office or the number of employees it employs, which are likely to substantially affect the composition of the European Company Works Council or the arrangements for employee involvement as defined by the agreement resulting from negotiations initiated prior to the registration of the European Company or in application of article L. 2353-28 et seq., new negotiations shall be initiated under the conditions set out in Chapter II.

In this case, the failure of the negotiations leads to the application of the provisions of articles L. 2353-2 et seq.

Si, après l’immatriculation de la société européenne, des changements interviennent dans la structure de l’entreprise, la localisation de son siège ou le nombre de travailleurs qu’elle occupe et qu’ils sont susceptibles d’affecter substantiellement la composition du comité de la société européenne ou les modalités d’implication des travailleurs telles qu’arrêtées par l’accord issu des négociations engagées avant l’immatriculation de la société européenne ou en application de l’article L. 2353-28 et suivants, une nouvelle négociation est engagée dans les conditions prévues par le chapitre II.

Dans ce cas, l’échec des négociations entraîne l’application des dispositions des articles L. 2353-2 et suivants.
