Article L2511-2 of the French Public procurement code

The rules defined in Title II also apply to public contracts concluded by a controlled legal entity which is a contracting authority, including when it acts as a contracting entity, with:
1° Either the contracting authority which controls it, including when such control is exercised jointly with other contracting authorities under the conditions laid down in Article L. 2511-3 ;
2° Or another legal entity controlled by the same contracting authority, provided that the legal entity to which the public contract is awarded does not have a direct private equity holding, with the exception of those forms of private equity holding without the capacity to control or block required by law which do not allow decisive influence to be exercised over the controlled legal entity.

Sont également soumis aux règles définies au titre II les marchés publics conclus par une personne morale contrôlée qui est un pouvoir adjudicateur, y compris lorsqu’il agit en qualité d’entité adjudicatrice, avec :
1° Soit le pouvoir adjudicateur qui la contrôle, y compris lorsque ce contrôle est exercé conjointement avec d’autres pouvoirs adjudicateurs dans les conditions fixées à l’article L. 2511-3 ;
2° Soit une autre personne morale contrôlée par le même pouvoir adjudicateur, à condition que la personne morale à laquelle est attribué le marché public ne comporte pas de participation directe de capitaux privés au capital, à l’exception des formes de participation de capitaux privés sans capacité de contrôle ou de blocage requises par la loi qui ne permettent pas d’exercer une influence décisive sur la personne morale contrôlée.
