Article L252-5 of the French Commercial code

The manager or managers of a European Economic Interest Grouping are liable, individually or jointly and severally as the case may be, to the grouping or to third parties, either for infringements of the legislative or regulatory provisions applicable to the grouping, or for breaches of the Articles of Association, or for their mismanagement. If several managing partners have cooperated in the same acts, the court shall determine the contributory share of each in the reparation of the damage.

Le ou les gérants d’un groupement européen d’intérêt économique sont responsables, individuellement ou solidairement selon le cas, envers le groupement ou envers les tiers, soit des infractions aux dispositions législatives ou réglementaires applicables au groupement, soit des violations des statuts, soit de leurs fautes de gestion. Si plusieurs gérants ont coopéré aux mêmes faits, le tribunal détermine la part contributive de chacun dans la réparation du dommage.
