Article L421-3 of the French Monetary and Financial Code

The AMF may appoint an agent for the market undertaking, to whom all powers of administration, management and representation of the legal entity shall be transferred.

This appointment shall be made either at the request of the managers if they consider that they are no longer in a position to perform their duties normally, or on the initiative of the Autorité des marchés financiers if the management of a trading platform can no longer be ensured under conditions that guarantee its proper operation.

Where warranted by special emergency circumstances, the AMF may appoint an agent on a provisional basis without adversarial proceedings. This measure shall be confirmed after an adversarial procedure within a period set by decree in the Conseil d’Etat. It may be lifted at any time.

A decree shall specify, as necessary, the conditions of application of this article.

Article L421-3

L’Autorité des marchés financiers peut désigner un mandataire auprès de l’entreprise de marché, auquel sont transférés tous les pouvoirs d’administration, de direction et de représentation de la personne morale.

Cette désignation est faite soit à la demande des dirigeants lorsqu’ils estiment ne plus être en mesure d’exercer normalement leurs fonctions, soit à l’initiative de l’Autorité des marchés financiers lorsque la gestion d’une plate-forme de négociation ne peut plus être assurée dans des conditions garantissant son bon fonctionnement.

Lorsque des circonstances particulières d’urgence le justifient, l’Autorité des marchés financiers peut désigner un mandataire à titre provisoire sans procédure contradictoire. Cette mesure est confirmée après une procédure contradictoire dans un délai prévu par décret en Conseil d’Etat. Elle peut être levée à tout moment.

Un décret précise en tant que de besoin les conditions d’application du présent article.
