Article L430-4 of the French Commercial code

The actual completion of a merger transaction may only take place after the agreement of the Autorité de la concurrence or, where it has raised the matter under the conditions provided for in Article L. 430-7-1, that of the Minister responsible for the economy.

In the event of a duly substantiated special need, the notifying parties may apply to the Autorité de la concurrence for a waiver allowing them to proceed with the actual implementation of all or part of the concentration without waiting for the decision referred to in the first paragraph and without prejudice thereto. Conditions may be attached to the granting of this derogation.

The derogation referred to in the second paragraph ceases to be valid if, within three months of the effective completion of the transaction, the Competition Authority has not received full notification of the transaction.

Article L430-4

La réalisation effective d’une opération de concentration ne peut intervenir qu’après l’accord de l’Autorité de la concurrence ou, lorsqu’il a évoqué l’affaire dans les conditions prévues à l’article L. 430-7-1, celui du ministre chargé de l’économie.

En cas de nécessité particulière dûment motivée, les parties qui ont procédé à la notification peuvent demander à l’Autorité de la concurrence une dérogation leur permettant de procéder à la réalisation effective de tout ou partie de la concentration sans attendre la décision mentionnée au premier alinéa et sans préjudice de celle-ci. L’octroi de cette dérogation peut être assorti de conditions.

La dérogation mentionnée au deuxième alinéa cesse d’être valable si, dans un délai de trois mois à compter de la réalisation effective de l’opération, l’Autorité de la concurrence n’a pas reçu la notification complète de l’opération.
