The information referred to in I of Article L. 233-7 of the Commercial Code is also provided when the issuer’s registered office is outside the European Economic Area and falls within the cases referred to in II of Article L. 451-1-2 of this Code. In such cases, Articles L. 233-7, II, IV, V and VII, and Articles L. 233-8, L. 233-9, L. 233-10, L. 233-10-1, L. 233-11 and L. 233-12 of the Commercial Code shall apply.
The Autorité des marchés financiers may exempt a person holding equity interests in a company whose registered office is located outside the European Economic Area from the disclosure requirements referred to in I of Article L. 233-7 of the Commercial Code if it considers that the requirements to which this person is subject under the legislation of the third country applicable to him are equivalent.
The AMF may exempt a company whose registered office is located outside the European Economic Area from the obligations defined in II of Article L. 233-8 of the Commercial Code if it considers that the obligations to which the company is subject under the law of the third country in which the company has its registered office are equivalent.
The AMF shall draw up, update and publish the list of third countries whose laws or regulations are deemed equivalent to the obligations defined in I of Article L. 233-7 and II of Article L. 233-8 of the Commercial Code.
