Article L532-51 of the French Monetary and Financial Code

The provisions of this section shall not apply where investment or investment-related services are provided by a third-country firm at the sole initiative of the client.

Without prejudice to intra-group relationships, where a third-country firm, including through an entity acting on its behalf or having close links with that firm or any other person acting on behalf of that entity, approaches clients or potential clients, those services shall not be considered to be provided on the sole initiative of the client.

It is prohibited for any third-country firm to market financial instruments or investment services other than those for which the client has initiated the provision, other than through a branch authorised in accordance with article L. 532-48.

Les dispositions de la présente section ne sont pas applicables lorsque les services d’investissement ou les services connexes sont fournis par une entreprise de pays tiers à l’initiative exclusive du client.

Sans préjudice des relations intragroupe, lorsqu’une entreprise de pays tiers, y compris par l’intermédiaire d’une entité agissant pour son compte ou ayant des liens étroits avec cette entreprise ou toute autre personne agissant pour le compte de cette entité, démarche des clients ou des clients potentiels, ces services ne sont pas considérés comme fournis sur l’initiative exclusive du client.

Il est interdit à toute entreprise de pays tiers de commercialiser des instruments financiers ou des services d’investissement autres que ceux pour lesquels le client a été à l’initiative de la fourniture, autrement que par l’intermédiaire d’une succursale agréée conformément à l’article L. 532-48.
