Article L544-4 of the French Monetary and Financial Code

Voting advisers shall make public the code of conduct to which they refer and report on its application. Where a voting adviser does not refer to a code of conduct or where, in referring to such a code, it departs from some of its provisions, it shall state the reason and indicate the list of provisions thus departed from and, where applicable, the provisions taken in substitution.

In order to inform their clients of the exact content and reliability of their activities, voting advisors shall make public, at least annually, information concerning the preparation of their research, advice and voting recommendations.

Voting advisors shall prevent and manage any conflict of interest and any commercial relationship that may influence the preparation of their research, advice or voting recommendations. They shall make such conflicts and relationships known to their clients without delay. They shall make public and inform their clients of the measures taken to prevent and manage such conflicts and relationships.

A decree in the Conseil d’Etat shall specify the procedures for applying this article.

Les conseillers en vote rendent public le code de conduite auquel ils se réfèrent et rendent compte de son application. Lorsqu’un conseiller en vote ne se réfère pas à un code de conduite ou lorsque, se référant à un tel code, il s’écarte de certaines de ses dispositions, il en précise le motif et indique la liste des dispositions ainsi écartées et, s’il y a lieu, les dispositions prises en substitution.


Afin d’informer leurs clients sur la teneur exacte et la fiabilité de leurs activités, les conseillers en vote rendent publiques, au moins chaque année, les informations concernant la préparation de leurs recherches, conseils et recommandations de vote.


Les conseillers en vote veillent à prévenir et gérer tout conflit d’intérêts et toute relation commerciale pouvant influencer la préparation de leurs recherches, conseils ou recommandations de vote. Ils font connaître sans délai à leurs clients ces conflits et relations. Ils rendent publiques et font connaître à leurs clients les mesures prises en matière de prévention et de gestion de ces conflits et relations.


Un décret en Conseil d’Etat précise les modalités d’application du présent article.
