Article L552-4 of the French Monetary and Financial Code

Prior to any public offer of tokens, issuers may apply for approval from the Autorité des marchés financiers.

Issuers shall prepare a document providing all relevant information to the public on the proposed offer and on the issuer.

This information document may be drawn up in a language customary in the sphere of finance other than French, provided that it is accompanied by a summary in French.

This information document and promotional communications relating to the public offer shall be accurate, clear and not misleading and shall enable the risks associated with the offer to be understood. In particular, it indicates the conditions under which information is provided annually to subscribers on the use of the assets raised.

The procedures for applying for prior approval, the documents required to examine the application and the content of the information document are specified in the General Regulations of the Autorité des marchés financiers.

Préalablement à toute offre au public de jetons, les émetteurs peuvent solliciter un visa de l’Autorité des marchés financiers.

Les émetteurs établissent un document destiné à donner toute information utile au public sur l’offre proposée et sur l’émetteur.

Ce document d’information peut être établi dans une langue usuelle en matière financière autre que le français, sous réserve d’être accompagné d’un résumé en français.

Ce document d’information et les communications à caractère promotionnel relatives à l’offre au public présentent un contenu exact, clair et non trompeur et permettent de comprendre les risques afférents à l’offre. Il indique notamment les conditions dans lesquelles une information est fournie annuellement aux souscripteurs sur l’utilisation des actifs recueillis.

Les modalités de la demande de visa préalable, les pièces nécessaires à l’instruction du dossier et le contenu du document d’information sont précisés par le règlement général de l’Autorité des marchés financiers.
