Article L611-2 of the French Commercial code

I.-When it is apparent from any act, document or procedure that a commercial company, an economic interest grouping or a sole proprietorship, commercial or craft business is experiencing difficulties likely to jeopardise its continued operation, its directors may be summoned by the president of the commercial court to consider the appropriate measures to rectify the situation.

As soon as this summons has been sent, the president of the court may, notwithstanding any legislative or regulatory provision to the contrary, obtain from the statutory auditors, the members of the social and economic committee, the public administrations, the social security and welfare organisations and the departments responsible for centralising banking risks and payment incidents, information likely to provide him with accurate information on the economic and financial situation of the debtor.

II.Where the directors of a commercial company fail to file their annual accounts within the time limits provided for by the applicable texts, the president of the court may, where applicable at the request of the president of one of the observatories mentioned in Article L. 910-1 A, issue them with an injunction to do so within a short period of time subject to a fine.

If this injunction is not complied with within a period set by decree in the Conseil d’Etat, the president of the court may also apply the provisions of the second paragraph of I to them.

II is applicable, under the same conditions, to any sole trader with limited liability who fails to file the annual accounts or documents mentioned in the first paragraph of article L. 526-14, where the professional activity to which the assets are assigned is commercial or craft.

I.-Lorsqu’il résulte de tout acte, document ou procédure qu’une société commerciale, un groupement d’intérêt économique, ou une entreprise individuelle, commerciale ou artisanale connaît des difficultés de nature à compromettre la continuité de l’exploitation, ses dirigeants peuvent être convoqués par le président du tribunal de commerce pour que soient envisagées les mesures propres à redresser la situation.

Dès l’envoi de cette convocation, le président du tribunal peut, nonobstant toute disposition législative ou réglementaire contraire, obtenir communication, par les commissaires aux comptes, les membres du comité social et économique, les administrations publiques, les organismes de sécurité et de prévoyance sociales ainsi que les services chargés de la centralisation des risques bancaires et des incidents de paiement, des renseignements de nature à lui donner une exacte information sur la situation économique et financière du débiteur.

II.-Lorsque les dirigeants d’une société commerciale ne procèdent pas au dépôt des comptes annuels dans les délais prévus par les textes applicables, le président du tribunal peut, le cas échéant sur demande du président d’un des observatoires mentionnés à l’article L. 910-1 A, leur adresser une injonction de le faire à bref délai sous astreinte.

Si cette injonction n’est pas suivie d’effet dans un délai fixé par décret en Conseil d’Etat, le président du tribunal peut également faire application à leur égard des dispositions du deuxième alinéa du I.

Le II est applicable, dans les mêmes conditions, à tout entrepreneur individuel à responsabilité limitée qui ne procède pas au dépôt des comptes annuels ou documents mentionnés au premier alinéa de l’article L. 526-14, lorsque l’activité professionnelle à laquelle le patrimoine est affecté est commerciale ou artisanale.
