Where there is a serious possibility that the company can be safeguarded, the court will draw up a plan to this end, which will put an end to the observation period.

The safeguard plan includes, where appropriate, the cessation, addition or transfer of one or more activities.

Transfers made pursuant to this article are subject to the provisions of Section 1 of Chapter II of Title IV and to those of article L. 642-22. However, the mandataire judiciaire carries out the tasks entrusted to the liquidator. In addition, the court may, in a specially reasoned judgment, after obtaining the opinion of the public prosecutor and requesting that of the auditors, derogate from the prohibitions provided for in the first paragraph of article L. 642-3 and authorise the transfer to one of the persons mentioned in this paragraph, with the exception of the auditors and the debtor in respect of any of its assets.

Where a plan to safeguard employment must be drawn up, the provisions of III of article L. 1233-58 of the Labour Code.

The pre-emptive rights instituted by the Rural and Maritime Fishing Code or the Town Planning Code may not be exercised on a property included in a transfer of one or more activities decided upon pursuant to this article.

Article L626-1

Lorsqu’il existe une possibilité sérieuse pour l’entreprise d’être sauvegardée, le tribunal arrête dans ce but un plan qui met fin à la période d’observation.

Le plan de sauvegarde comporte, s’il y a lieu, l’arrêt, l’adjonction ou la cession d’une ou de plusieurs activités.

Les cessions faites en application du présent article sont soumises aux dispositions de la section 1 du chapitre II du titre IV et à celles de l’article L. 642-22. Toutefois, le mandataire judiciaire exerce les missions confiées au liquidateur. En outre, le tribunal peut, par un jugement spécialement motivé, après avoir recueilli l’avis du ministère public et demandé celui des contrôleurs, déroger aux interdictions prévues au premier alinéa de l’article L. 642-3 et autoriser la cession à l’une des personnes mentionnées à cet alinéa, à l’exception des contrôleurs et du débiteur au titre de l’un quelconque de ses patrimoines.

Lorsqu’un plan de sauvegarde de l’emploi doit être élaboré, il est fait application des dispositions du III de l’article L. 1233-58 du code du travail.

Les droits de préemption institués par le code rural et de la pêche maritime ou le code de l’urbanisme ne peuvent s’exercer sur un bien compris dans une cession d’une ou de plusieurs activités décidée en application du présent article.
