Article L752-27 of the French Commercial code

I.-In local authorities covered by Article 73 of the Constitution and in the overseas collectivities of Saint-Barthélemy, Saint-Martin, Wallis-et-Futuna and Saint-Pierre-et-Miquelon, in the event of the existence of a dominant position, held by an undertaking or group of undertakings engaged in wholesale or retail trade, the Competition Authority may, having regard to the particular constraints of these territories arising in particular from their geographical and economic characteristics, send a reasoned report to the undertaking or group of undertakings in question if it finds that this dominant position raises competition concerns because of the high prices or margins charged by the undertaking or group of undertakings compared with the averages usually found in the sector concerned.

The undertaking or group of undertakings may, within a period of two months, propose commitments to the Commission, under the conditions set out in Article L. 464-2.

II.-If the undertaking or group of undertakings contests the finding made under the conditions set out in I or does not propose commitments or if the proposed commitments do not appear to it to put an end to its competition concerns, a report is notified by the Competition Authority to the undertaking or group of undertakings, which may submit its observations within two months.

The Autorité de la concurrence may, by a reasoned decision taken after receiving the observations of the undertaking or group of undertakings in question and after a hearing before the college, enjoin it to amend, supplement or terminate, within a specified period which may not exceed six months, all agreements and all acts by which the economic power that permits the high prices or margins observed has been built up. It may, under the same conditions, order it to dispose of assets, including land, whether built or not, within a period that may not be less than six months, if such disposal is the only means of guaranteeing effective competition. The Competition Authority may sanction non-compliance with these injunctions under the conditions set out in Article L. 464-2.

As part of the procedures defined in I and II of this Article, the Competition Authority may request any information under the conditions set out in articles L. 450-3, L. 450-7 and L. 450-8 and hear any interested third parties.

I.-Dans les collectivités relevant de l’article 73 de la Constitution et dans les collectivités d’outre-mer de Saint-Barthélemy, de Saint-Martin, de Wallis-et-Futuna et de Saint-Pierre-et-Miquelon, en cas d’existence d’une position dominante, détenue par une entreprise ou un groupe d’entreprises exerçant une activité de commerce de gros ou de détail, l’Autorité de la concurrence peut, eu égard aux contraintes particulières de ces territoires découlant notamment de leurs caractéristiques géographiques et économiques, adresser un rapport motivé à l’entreprise ou au groupe d’entreprises en cause si elle constate que cette position dominante soulève des préoccupations de concurrence du fait de prix ou de marges élevés pratiqués par l’entreprise ou le groupe d’entreprises en comparaison des moyennes habituellement constatées dans le secteur concerné.

L’entreprise ou le groupe d’entreprises peut, dans un délai de deux mois, lui proposer des engagements, dans les conditions prévues à l’article L. 464-2.

II.-Si l’entreprise ou le groupe d’entreprises conteste le constat établi dans les conditions prévues au I ou ne propose pas d’engagements ou si les engagements proposés ne lui paraissent pas de nature à mettre un terme à ses préoccupations de concurrence, un rapport est notifié par l’Autorité de la concurrence à l’entreprise ou au groupe d’entreprises, qui peut présenter ses observations dans un délai de deux mois.

L’Autorité de la concurrence peut, par une décision motivée, prise après réception des observations de l’entreprise ou du groupe d’entreprises en cause et à l’issue d’une séance devant le collège, lui enjoindre de modifier, de compléter ou de résilier, dans un délai déterminé qui ne peut excéder six mois, tous accords et tous actes par lesquels s’est constituée la puissance économique qui permet les prix ou les marges élevés constatés. Elle peut, dans les mêmes conditions, lui enjoindre de procéder, dans un délai qui ne peut être inférieur à six mois, à la cession d’actifs, y compris de terrains, bâtis ou non, si cette cession constitue le seul moyen permettant de garantir une concurrence effective. L’Autorité de la concurrence peut sanctionner l’inexécution de ces injonctions dans les conditions prévues à l’article L. 464-2.

Dans le cadre des procédures définies aux I et II du présent article, l’Autorité de la concurrence peut demander communication de toute information dans les conditions prévues aux articles L. 450-3, L. 450-7 et L. 450-8 et entendre tout tiers intéressé.
