Article L823-14 of the French Commercial code

The investigations provided for in Article L. 823-13 may be made both to the person or entity whose accounts the statutory auditors are responsible for certifying and to the persons or entities that control it or that are controlled by it within the meaning of I and II and of Article L. 233-3. They may also be made, for the application of the second paragraph of Article L. 823-9, to all the persons or entities included in the consolidation.

Statutory auditors may also obtain any information relevant to the performance of their duties from third parties who have carried out transactions on behalf of the person or entity. However, this right of information may not extend to the disclosure of any documents, contracts and papers held by third parties, unless they are authorised to do so by a court order.

Professional secrecy may not be invoked against statutory auditors in the performance of their duties, except by auxiliary officers of the court.

Les investigations prévues à l’article L. 823-13 peuvent être faites tant auprès de la personne ou de l’entité dont les commissaires aux comptes sont chargés de certifier les comptes que des personnes ou entités qui la contrôlent ou qui sont contrôlées par elle au sens des I et II et de l’article L. 233-3. Elles peuvent également être faites, pour l’application du deuxième alinéa de l’article L. 823-9, auprès de l’ensemble des personnes ou entités comprises dans la consolidation.

Les commissaires aux comptes peuvent également recueillir toutes informations utiles à l’exercice de leur mission auprès des tiers qui ont accompli des opérations pour le compte de la personne ou de l’entité. Toutefois, ce droit d’information ne peut s’étendre à la communication des pièces, contrats et documents quelconques détenus par des tiers, à moins qu’ils n’y soient autorisés par une décision de justice.

Le secret professionnel ne peut être opposé aux commissaires aux comptes dans le cadre de leur mission, sauf par les auxiliaires de justice.
