Article R123-35 of the French Commercial code

Any legal entity subject to registration whose registered office is located in a département applies for such registration, through the intermediary of the single body mentioned in article R. 123-1, at the registry of the court within whose jurisdiction its registered office is located.

Where the registered office is located outside a département or where it is located abroad, registration is applied for, via the single body, at the registry of the court within whose jurisdiction the first establishment is opened or within whose jurisdiction the commune mentioned in the first sentence of the fourth paragraph of article R. 123-208-2.

Article R123-35

Toute personne morale tenue à immatriculation dont le siège est situé dans un département demande cette immatriculation, par l’intermédiaire de l’organisme unique mentionné à l’article R. 123-1, au greffe du tribunal dans le ressort duquel est situé son siège.

Lorsque le siège est situé hors d’un département ou lorsqu’il est situé à l’étranger, l’immatriculation est demandée, par l’intermédiaire de l’organisme unique, au greffe du tribunal dans le ressort duquel est ouvert le premier établissement ou dans le ressort duquel est située la commune mentionnée à la première phrase du quatrième alinéa de l’article R. 123-208-2.
