Article R225-113 of the French Commercial code

In the report provided for in Article L. 225-129, all relevant information on the reasons for the proposed capital increase and on the progress of the Company’s business since the beginning of the current financial year and, if the Ordinary General Meeting called to approve the financial statements has not yet been held, during the previous financial year. Where applicable, the Board of Directors or the Management Board shall indicate the maximum amount of the capital increase.

Le conseil d’administration ou le directoire donne, dans le rapport prévu à l’article L. 225-129, toutes indications utiles sur les motifs de l’augmentation du capital proposée ainsi que sur la marche des affaires sociales depuis le début de l’exercice en cours et, si l’assemblée générale ordinaire appelée à statuer sur les comptes n’a pas encore été tenue, pendant l’exercice précédent. Le cas échéant, le conseil d’administration ou le directoire indique le montant maximal de l’augmentation de capital.
