Article R225-13 of the French Commercial code

Where the company is formed without a public offering, or by means of a public offering mentioned in 1° or 2° of Article L. 411-2 of the Monetary and Financial Code or in Article L. 411-2-1 of the same code, only the provisions of articles R. 22-10-6 to R. 22-10-8 and R. 22-10-12 are applicable to the formation of the company.

Article R225-13

Lorsque la société est constituée sans offre au public, ou par la voie d’une offre au public mentionnée au 1° ou 2° de l’article L. 411-2 du code monétaire et financier ou à l’article L. 411-2-1 du même code, sont seules applicables à la constitution de la société les dispositions des articles R. 22-10-6 à R. 22-10-8 et R. 22-10-12.
