Article R225-19 of the French Commercial code

Unless otherwise stipulated in the Articles of Association, a director may give a written proxy to another director to represent him at a meeting of the Board of Directors.

Each director may hold only one of the proxies received in application of the preceding paragraph at any one meeting.

The provisions of the preceding paragraphs apply to the permanent representative of a legal entity that is a director.

Sauf clause contraire des statuts, un administrateur peut donner, par écrit, mandat à un autre administrateur de le représenter à une séance du conseil d’administration.

Chaque administrateur ne peut disposer, au cours d’une même séance, que d’une seule des procurations reçues par application de l’alinéa précédent.

Les dispositions des alinéas précédents sont applicables au représentant permanent d’une personne morale administrateur.
