Article R228-25 of the French Commercial code

The entry of the defaulting shareholder is automatically deleted from the company’s register of registered shares. If the shares issued are in registered form, the acquirer is registered and new certificates indicating the payment of the instalments called up and marked “duplicate” are issued.

Where the shares were registered in an account with the issuer in accordance with the provisions of articles R. 211-1 and R. 211-4 of the Monetary and Financial Code, the registration of the defaulting shareholder is cancelled ipso jure. The purchaser shall be registered and new certificates indicating the payment of the instalments called up and bearing the words “duplicatum” shall be issued.

The net proceeds of the sale shall accrue to the Company to the same extent and shall be deducted from the principal and interest owed by the defaulting shareholder and then from the reimbursement of the costs incurred by the Company in bringing about the sale. The defaulting shareholder remains liable or profits from the difference.

L’inscription de l’actionnaire défaillant est rayée de plein droit dans le registre des actions nominatives de la société. Si les titres délivrés revêtent la forme nominative, l’acquéreur est inscrit et de nouveaux certificats indiquant la libération des versements appelés et portant la mention ” duplicatum ” sont délivrés.

Lorsque les actions étaient inscrites en compte chez l’émetteur conformément aux dispositions des articles R. 211-1 et R. 211-4 du code monétaire et financier, l’inscription en compte de l’actionnaire défaillant est annulée de plein droit. L’acquéreur est inscrit et de nouvelles attestations indiquant la libération des versements appelés et portant la mention ” duplicatum ” sont délivrées.

Le produit net de la vente revient à la société à due concurrence et s’impute sur ce qui est dû en principal et intérêts par l’actionnaire défaillant et ensuite sur le remboursement des frais exposés par la société pour parvenir à la vente. L’actionnaire défaillant reste débiteur ou profite de la différence.
