Article R532-13 of the French Monetary and Financial Code

Subject to the provisions of I of Article L. 532-9-1, the Autorité des marchés financiers shall be informed in advance of any proposed amendment to the factors taken into account for the authorisation of an asset management company. The AMF shall inform the applicant of the possible consequences of the proposed amendment on authorisation, in accordance with the conditions laid down in the AMF General Regulation.

The AMF may request any additional information. The AMF has one month in which to give its opinion on the proposed amendment.

The Autorité des marchés financiers may extend this period by up to one month if it deems it necessary due to the particular circumstances of the case and after notifying the portfolio management company. The changes will be implemented if the AMF does not object during the assessment period.

Sous réserve des dispositions du I de l’article L. 532-9-1, l’Autorité des marchés financiers est préalablement informée de tout projet de modification portant sur des éléments pris en compte lors de l’agrément d’une société de gestion de portefeuille. Elle informe le déclarant des conséquences éventuelles sur l’agrément de la modification envisagée dans les conditions fixées par le règlement général de l’Autorité des marchés financiers.

L’Autorité des marchés financiers peut se faire communiquer tous éléments d’information complémentaires. Le délai imparti à cette autorité pour se prononcer sur la modification envisagée est d’un mois.

L’Autorité des marchés financiers peut prolonger cette période pour une durée pouvant aller jusqu’à un mois, lorsqu’elle le juge nécessaire en raison des circonstances particulières de l’espèce et après l’avoir notifié à la société de gestion de portefeuille. Les changements sont mis en œuvre si cette autorité ne s’y oppose pas pendant la période d’évaluation prévue.
