I -An indication of the code of conduct to which the voting consultant refers, a report on its application and, where applicable, a list of the provisions from which he has deviated, together with the reasons and the measures taken in substitution, as referred to in the first paragraph of Article L. 544-4, are made available to the public free of charge on the voting consultants’ website and are updated annually.
II – The annual information concerning the preparation of research, advice and voting recommendations by voting consultants, mentioned in the second paragraph of Article L. 544-4, is made available to the public free of charge on the voting consultants’ website and remains accessible free of charge for at least three years after the date of its publication.
They contain the following information
1° The essential elements of the methods and models applied;
2° The main sources of information used;
3° The procedures put in place to guarantee the quality of the research, advice and voting recommendations, as well as the professional qualifications of the personnel involved;
4° Whether or not specific national market, legislative and regulatory conditions, as well as the particularities of the company itself, are taken into account and, if so, the manner in which they are taken into account;
5° The essential characteristics of the voting policies applied for each market;
6° Whether or not dialogue takes place with the companies that are the subject of their research, advice or voting recommendations, as well as with the stakeholders of these companies and, if so, the scope and nature of this dialogue;
7° The policy for preventing and managing potential conflicts of interest.
