Article R561-55 of the French Monetary and Financial Code

The information relating to beneficial owners referred to in the second paragraph of Article L. 561-46 is declared to the commercial court registry when the application for registration in the Trade and Companies Register is submitted by the registered company or entity via the single body referred to inArticle R. 123-1 of the Commercial Code. The registered company or entity requests an amending entry within thirty days of any fact or act making it necessary to rectify or supplement the information declared.

However, when the company or entity for which the information relating to beneficial owners is declared is a collective investment scheme, the last sentence of the first paragraph only applies at the end of a period of 180 working days following the date of registration of this company in the Trade and Companies Register.

Les informations relatives aux bénéficiaires effectifs mentionnées au deuxième alinéa de l’article L. 561-46 sont déclarées au greffe du tribunal de commerce lors de la demande d’immatriculation au registre du commerce et des sociétés présentée par la société ou l’entité immatriculée par l’intermédiaire de l’organisme unique mentionné à l’article R. 123-1 du code de commerce. La société ou l’entité immatriculée demande une inscription modificative dans les trente jours suivant tout fait ou acte rendant nécessaire la rectification ou le complément des informations déclarées.

Toutefois lorsque la société ou l’entité pour laquelle sont déclarées les informations relatives aux bénéficiaires effectifs est un placement collectif, la dernière phrase du premier alinéa ne s’applique qu’à l’issue d’un délai de 180 jours ouvrés suivant la date d’immatriculation de cette société au registre du commerce et des sociétés.
