Article R613-60 of the French Monetary and Financial Code

I. – Without prejudice to the provisions of article L. 613-50-8, any remuneration in return for a transfer carried out pursuant to articles L. 613-52 and L. 613-53 shall be paid by the acquirer:

1° To the owners of the equity securities referred to in Chapter I of Title I of Book II or of the other ownership interests that have been transferred to the acquirer ;

2° To the person subject to a resolution procedure, where the transfer relates to all or part of the assets or liabilities of that person.

II. – Without prejudice to the provisions of Article L. 613-50-8, any remuneration in return for the transfer of assets, rights and obligations carried out in application of Article L. 613-54 shall be paid by the asset management vehicle to the entity subject to resolution proceedings where the transfer relates to all or part of the assets or liabilities of that entity.

I. – Sans préjudice des dispositions de l’article L. 613-50-8, toute rémunération en contrepartie d’un transfert réalisé en application des articles L. 613-52 et L. 613-53 est versée par l’acquéreur :

1° Aux propriétaires des titres de capital mentionnés au chapitre Ier du titre Ier du livre II ou des autres titres de propriété qui ont été transférés à l’acquéreur ;

2° A la personne soumise à une procédure de résolution, lorsque le transfert porte sur tout ou partie de l’actif ou du passif de cette personne.

II. – Sans préjudice des dispositions de l’article L. 613-50-8, toute rémunération en contrepartie du transfert de biens, droits et obligations réalisé en application de l’article L. 613-54 est versée par la structure de gestion des actifs à la personne soumise à une procédure de résolution lorsque le transfert porte sur tout ou partie de l’actif ou du passif de cette personne.
