Article R6223-26 of the French Public Health Code

I.-Unless otherwise provided for in the Articles of Association, shares in the company may be freely transferred between members, in accordance witharticle 20 of law no. 66-879 of 29 November 1966.

II – In the event that a member decides to transfer shares to a third party, these may only be transferred to a medical biologist who is a natural person and only with the consent of the company expressed under the conditions set out in article 19 of the same law. The proposed transfer of shares is notified to the company and to each of the partners by any means that provides proof of the date of receipt. The Company shall notify the transferring shareholder of its consent to or refusal of the transfer, by any means that provides proof of the date of receipt.

I.-Sauf disposition contraire des statuts, les parts sociales sont librement cessibles entre associés, conformément à l’article 20 de la loi n° 66-879 du 29 novembre 1966.

II.-Dans le cas où un associé décide de céder des parts à un tiers, celles-ci ne peuvent être cédées qu’au profit d’un biologiste médical personne physique et qu’avec le consentement de la société exprimé dans les conditions prévues à l’article 19 de la même loi. Le projet de cession des parts sociales est notifié à la société et à chacun des associés par tout moyen permettant de rapporter la preuve de sa date de réception. La société notifie à l’associé cédant, par tout moyen permettant de rapporter la preuve de sa date de réception, son consentement à la cession ou son refus.
