Article R6223-40 of the French Public Health Code

An original or a copy of the instrument amending the Articles of Association is filed by one of the legal representatives with the Trade and Companies Register in which the company is registered. Until this formality has been completed, the amendment to the Articles of Association may not be relied upon by third parties.

Any interested party may obtain, at his or her own expense, an extract from the deed amending the Articles of Association issued by the Registrar containing, to the exclusion of all other information, the information listed in the third paragraph of article R. 6223-16.

Un original ou une expédition de l’acte portant modification des statuts est déposé par un des représentants légaux au registre du commerce et des sociétés auquel est immatriculée la société. Jusqu’à l’accomplissement de cette formalité la modification des statuts est inopposable aux tiers qui peuvent toutefois s’en prévaloir.

Tout intéressé peut obtenir à ses frais la délivrance par le secrétaire-greffier d’un extrait de l’acte portant modification des statuts contenant, à l’exclusion de toutes autres indications, celles énumérées au troisième alinéa de l’article R. 6223-16.
