I.-The conviction of a partner of a criminal offence or his removal from the roll of the bar association to which he belongs automatically entails his exclusion from the company.
Where the company has more than two members, the exclusion of a partner may be ordered by the other partners acting unanimously if that partner has committed a serious breach of the Articles of Association or the company’s internal rules or if he has been subject to a disciplinary penalty involving a temporary ban on practising.
II -A partner who is excluded from the company or who withdraws from the company is only entitled to the reimbursement of his contribution. If there are losses, the reimbursement is made only after deduction of the share of the partner in the losses recorded in the inventory which preceded the withdrawal or exclusion.
