Article R6223-81 of the French Public Health Code

The application for registration shall be sent by a joint representative appointed, in the articles or in a separate deed, by the members of the company, to the council of the competent Bar or Bars within whose jurisdiction the company’s registered office is located, by any means that provides proof of its date of receipt. It must be accompanied by the following documents:

1° A copy of the company’s Articles of Association and its internal rules;

2° Any agreement relating to the operation of the company or to relations between members;

3° A certificate from the clerk of the commercial court of the place of the company’s registered office or from the court with commercial jurisdiction stating that the application for registration of the company in the register of companies has been filed with the clerk’s office;

4° A certificate from the members stating, for each of them:

a) The category of person or company under which he is a partner and the breakdown of the shares representing the capital that he holds, directly or indirectly, in the company;

b) The nature and separate valuation of his contribution, and, where applicable, the report of the contributions auditor;

c) Confirmation that his contribution has been fully or partially paid up, as the case may be;

5° For each partner practising as a medical biologist, a certificate of enrolment on the roll of the ordre and, for partners not yet enrolled on this roll, proof of application for enrolment.

The application for registration is accompanied by an information memorandum designating the liberal practice companies whose shares in the share capital are intended to be held, on its formation, by the liberal profession financial holdings company and specifying the breakdown of the capital resulting from these shares for each of them.

La demande d’inscription est adressée par un mandataire commun désigné, dans les statuts ou dans un acte séparé, par les associés de la société, au conseil du ou des ordres compétents dans le ressort desquels est situé le siège social de la société, par tout moyen permettant de rapporter la preuve de sa date de réception. Elle est accompagnée des pièces suivantes :

1° Un exemplaire des statuts de la société et de son règlement intérieur ;

2° Toute convention relative au fonctionnement de la société ou aux rapports entre associés ;

3° Une attestation du greffier du tribunal de commerce du lieu du siège social ou du tribunal judiciaire statuant commercialement constatant le dépôt au greffe de la demande d’immatriculation de la société au registre du commerce et des sociétés ;

4° Une attestation des associés indiquant, pour chacun d’eux :

a) La catégorie de personnes ou de sociétés au titre de laquelle il est associé et la répartition des parts sociales ou actions représentatives du capital qu’il détient, directement ou indirectement, dans la société ;

b) La nature et l’évaluation distincte de son apport, et, le cas échéant, le rapport du commissaire aux apports ;

c) L’affirmation de la libération totale ou partielle, suivant le cas, de son apport ;

5° Pour chaque associé exerçant la profession de biologiste médical, un certificat d’inscription au tableau de l’ordre et, pour les associés non encore inscrits à ce tableau, la justification de la demande d’inscription.

La demande d’inscription est accompagnée d’une note d’information désignant les sociétés d’exercice libéral dont des parts ou actions du capital social ont vocation à être détenues, à sa constitution, par la société de participations financières de profession libérale et précisant la répartition du capital qui résulte de ces parts ou actions pour chacune d’entre elles.
