The application for registration shall be sent by a joint representative appointed, in the articles or in a separate deed, by the members of the company, to the council of the competent Bar or Bars within whose jurisdiction the company’s registered office is located, by any means that provides proof of its date of receipt. It must be accompanied by the following documents:
1° A copy of the company’s Articles of Association and its internal rules;
2° Any agreement relating to the operation of the company or to relations between members;
3° A certificate from the clerk of the commercial court of the place of the company’s registered office or from the court with commercial jurisdiction stating that the application for registration of the company in the register of companies has been filed with the clerk’s office;
4° A certificate from the members stating, for each of them:
a) The category of person or company under which he is a partner and the breakdown of the shares representing the capital that he holds, directly or indirectly, in the company;
b) The nature and separate valuation of his contribution, and, where applicable, the report of the contributions auditor;
c) Confirmation that his contribution has been fully or partially paid up, as the case may be;
5° For each partner practising as a medical biologist, a certificate of enrolment on the roll of the ordre and, for partners not yet enrolled on this roll, proof of application for enrolment.
The application for registration is accompanied by an information memorandum designating the liberal practice companies whose shares in the share capital are intended to be held, on its formation, by the liberal profession financial holdings company and specifying the breakdown of the capital resulting from these shares for each of them.
