Article R6223-89 of the French Public Health Code

The removal of a private medical biologist financial holding company from the roll of the competent order(s) entails its dissolution.

At the instance of the president of the council of the competent order(s), the removal of the company from the register is brought to the attention of the director general of the regional health agency within whose jurisdiction the registered office of the company is located and a copy of the final decision ordering the removal of the company from the register is placed in the file opened in the name of the company at the registry responsible for keeping the register of commerce and companies.

Where the company is governed by the Order of Pharmacists or the Order of Doctors, removal from the roll of an Order resulting from the withdrawal of the only member(s) governed by that Order does not result in the dissolution of the company.

La radiation de la société de participations financières de profession libérale de biologistes médicaux du tableau du ou des ordres compétents emporte sa dissolution.

A la diligence du président du conseil du ou des ordres compétents, la radiation de la société est portée à la connaissance du directeur général de l’agence régionale de santé dans le ressort de laquelle est situé le siège social de la société et une expédition de la décision définitive prononçant la radiation de la société du tableau de l’ordre est versée au dossier ouvert au nom de la société au greffe chargé de la tenue du registre du commerce et des sociétés.

Lorsque la société relève de l’ordre des pharmaciens et de l’ordre des médecins, la radiation du tableau d’un ordre résultant du retrait du ou des seuls associés relevant de cet ordre n’emporte pas dissolution de la société.
