Article R743-115 of the French Commercial code

When a partner finds himself holding all of the company’s shares, he may ask to be appointed clerk of the commercial court himself, in place of the company. In this case, he shall send a reasoned request, accompanied by all supporting documents, to the Minister of Justice, by tele-procedure on the website of the Ministry of Justice. The company is dissolved with effect from the appointment of the partner as commercial court clerk to replace the company.

The company is dissolved under the conditions provided for in Article 1844-5 of the Civil Code if, at the end of the one-year period provided for by this text, all the shares remain in one hand. The sole shareholder is ipso jure liquidator of the company.

Lorsqu’un associé se retrouve titulaire de la totalité des parts de la société, il peut demander à être nommé lui-même greffier du tribunal de commerce, en remplacement de la société. Il adresse dans ce cas une requête motivée et accompagnée de toutes justifications au garde des sceaux, ministre de la justice, par téléprocédure sur le site internet du ministère de la justice. La société est dissoute à compter de la nomination de l’associé en qualité de greffier de tribunal de commerce en remplacement de la société.

La société est dissoute dans les conditions prévues à l’article 1844-5 du code civil si, à l’expiration du délai d’un an prévu par ce texte, toutes les parts sociales demeurent réunies en une seule main. L’associé unique est de plein droit liquidateur de la société.
