Article R751-9 of the French Commercial code

If a full member is absent or unable to attend, the alternate member is called upon to replace him or her.

If a member is absent or unable to attend six successive meetings without giving a reason, the chairman may terminate that member’s term of office. In this case, the appointing authority shall appoint a new full member and a new alternate member for the remainder of the term of office.

In the event of the resignation or death of a full member of the committee, a new full member and a new alternate member shall be appointed for the remainder of the term of office. In the event of the resignation or death of an alternate member of the commission, a new alternate member shall be appointed for the remainder of the term of office.

In both these cases, if these appointments are made less than one year before the expiry of that term of office, the new members may serve a further term of six years.

At the request of the Chairman or of two of its members, the Commission shall deliberate on the compulsory resignation of one of its members, under the conditions provided for in IV of Article L. 751-7.

En cas d’absence ou d’empêchement d’un membre titulaire, le membre suppléant est appelé à le remplacer.

En cas d’absence ou d’empêchement à six réunions successives sans motifs d’un membre, le président peut mettre fin au mandat de ce membre. Dans ce cas, l’autorité de nomination désigne un nouveau membre titulaire et un nouveau membre suppléant pour la durée du mandat restant à courir.

En cas de démission ou de décès d’un membre titulaire de la commission, un nouveau membre titulaire et un nouveau membre suppléant sont nommés pour la durée du mandat restant à courir. En cas de démission ou de décès d’un membre suppléant de la commission, un nouveau membre suppléant est nommé pour la durée du mandat restant à courir.

Dans ces deux cas, si ces nominations interviennent moins d’un an avant l’expiration de ce mandat, les nouveaux membres peuvent accomplir un autre mandat de six ans.

Sur demande du président ou de deux de ses membres, la commission délibère sur la démission d’office de l’un de ses membres, dans les conditions prévues au IV de l’article L. 751-7.
