The constituent agreement of the National Cancer Institute is approved by order of the ministers responsible for the budget, research and health.
In particular, it sets out the extent of the powers exercised by the Chairman of the Board of Directors and the Chief Executive Officer.
The constituent agreement may stipulate that the Chairman of the Board of Directors shall execute and implement the decisions of the General Meeting and the Board of Directors, that he shall direct the Institute and have all the powers necessary for its management. In particular, it may provide that the Chairman of the Board of Directors:
1° Recruits the Institute’s staff and ensures their hierarchical supervision ;
2° Prepares the deliberations of the Board of Directors;
3° Prepares the Institute’s budget, annual programme of activities and annual report;
4° Concludes contracts, agreements and sales and purchase transactions on behalf of the Institute, subject to the powers conferred on the Board of Directors;
5° Represents the Institute in dealings with third parties for all acts falling within the scope of the Institute’s purpose and in legal proceedings.
The constituent agreement provides that the Chairman of the Board of Directors may delegate his signature and some of his powers.
The founding agreement may also stipulate that the Chief Executive Officer acts under the authority of the Chairman of the Board of Directors and within the scope of the delegations granted to him by the latter.
