Article L124-4-1 of the French Commercial code

The articles of association of a société coopérative de commerçants may stipulate that a member wishing to sell his business, or more than 50% of the shares making up the capital of the company operating the business, or the property in which the business is operated, must inform the cooperative. The cooperative has a period of three months from receipt of this information to make an offer to acquire the business.

A transfer made in disregard of the first paragraph may be annulled by the competent court.

If the transfer has not taken place within two years, the transferor shall inform the cooperative, which may submit a new offer under the conditions set out in the first paragraph.

The clause mentioned in the first paragraph is disregarded in the event of succession, liquidation of the matrimonial property regime or transfer to a spouse, ascendant or descendant.

Les statuts d’une société coopérative de commerçants peuvent prévoir que l’associé qui souhaite céder son fonds de commerce, ou plus de 50 % des parts sociales ou actions composant le capital de la société exploitant ce fonds, ou encore le bien immobilier dans lequel est exploité ce fonds, doit en informer la coopérative. La coopérative dispose, à compter de la réception de cette information, d’un délai de trois mois pour présenter une offre d’acquisition.

La cession intervenue en méconnaissance du premier alinéa peut être annulée par le tribunal compétent.

Si la cession n’est pas intervenue dans un délai de deux ans, le cédant en informe la coopérative qui peut présenter une nouvelle offre dans les conditions prévues au premier alinéa.

La clause mentionnée au premier alinéa est écartée en cas de succession, de liquidation du régime matrimonial ou de cession à un conjoint, à un ascendant ou à un descendant.
