Article L142-2 of the French Commercial code

Only the following may be included in the pledge subject to the provisions of this chapter as forming part of a business: the sign and trade name, the right to the lease, the clientele and goodwill, the business furniture, the equipment or tools used in the operation of the business, the patents, licences, trade marks, industrial designs and models, and generally the intellectual property rights attached thereto.

A certificate of addition subsequent to the pledge which includes the patent to which it applies follows the fate of that patent and forms part, like it, of the pledge constituted.

In the absence of an express and precise designation in the deed constituting it, the pledge only includes the sign and trade name, the right to the lease, the clientele and the goodwill.

If the pledge relates to a business and its branches, the latter must be designated by a precise indication of their registered office.

Sont seuls susceptibles d’être compris dans le nantissement soumis aux dispositions du présent chapitre comme faisant partie d’un fonds de commerce : l’enseigne et le nom commercial, le droit au bail, la clientèle et l’achalandage, le mobilier commercial, le matériel ou l’outillage servant à l’exploitation du fonds, les brevets d’invention, les licences, les marques, les dessins et modèles industriels, et généralement les droits de propriété intellectuelle qui y sont attachés.

Le certificat d’addition postérieur au nantissement qui comprend le brevet auquel il s’applique suit le sort de ce brevet et fait partie, comme lui, du nantissement constitué.

A défaut de désignation expresse et précise dans l’acte qui le constitue, le nantissement ne comprend que l’enseigne et le nom commercial, le droit au bail, la clientèle et l’achalandage.

Si le nantissement porte sur un fonds de commerce et ses succursales, celles-ci doivent être désignées par l’indication précise de leur siège.
