Article L1523-4 of the French General Code of Local Authorities

In the event that the company goes into compulsory liquidation, concessions awarded on the basis of article L. 300-4 of the town planning code or public service delegation contracts are automatically terminated and the assets contributed by the latter and included in the scope of the agreement or concession are returned to the territorial authority or grouping free of charge.

On pain of nullity, the concession or public service delegation contract includes a clause stipulating, for the case referred to in the previous paragraph, the conditions for compensation by the local authority or grouping for the non-depreciated portion of the assets acquired or created by the company and allocated to the assets of the operation or service, over which they exercise their right of return or repossession. The resulting amount of compensation is paid to the company, after deduction, where applicable, of the financial contributions of the local authority or grouping for the unused portion thereof and of payments corresponding to the performance of a guarantee granted for the financing of the operation.

En cas de mise en liquidation judiciaire de la société, les concessions passées sur le fondement de l’article L. 300-4 du code de l’urbanisme ou les contrats de délégation de service public sont automatiquement résiliés et il est fait retour gratuit à la collectivité territoriale ou au groupement des biens apportés par ces derniers et inclus dans le domaine de la convention ou de la concession.

A peine de nullité, la concession ou le contrat de délégation de service public comprend une clause prévoyant, pour le cas visé à l’alinéa précédent, les conditions d’indemnisation, par la collectivité territoriale ou le groupement, de la partie non amortie des biens acquis ou réalisés par la société et affectés au patrimoine de l’opération ou du service, sur lesquels ils exercent leur droit de retour ou de reprise. Le montant de l’indemnité en résultant est versé à la société, déduction faite, le cas échéant, des participations financières de la collectivité territoriale ou du groupement pour la partie non utilisée de celles-ci et des paiements correspondant à l’exécution d’une garantie accordée pour le financement de l’opération.
