Article L213-17 of the French Monetary and Financial Code

The provisions of articles L. 213-5 and L. 213-6 of this Code and of articles L. 228-1, L. 228-5, L. 228-43 to L. 228-89, L. 242-10, L. 245-9 to L. 245-12 (1°) and L. 245-13 to L. 245-17 of the French Commercial Code apply to bonds issued by associations.

The provisions mentioned in the previous paragraph relating to boards of directors, management boards or company managers are applicable to associations issuing bonds and govern the persons or bodies responsible for administration in accordance with the articles of association.

Those relating to the supervisory board of a company or to its members apply, if there is one, to the collegiate supervisory body and to the persons who make it up.

Les dispositions des articles L. 213-5 et L. 213-6 du présent code, des articles L. 228-1, L. 228-5, L. 228-43 à L. 228-89, L. 242-10, L. 245-9 à L. 245-12 (1°), L. 245-13 à L. 245-17 du code de commerce s’appliquent aux obligations émises par les associations.

Les dispositions mentionnées à l’alinéa précédent, relatives aux conseil d’administration, directoire ou gérants de société sont applicables aux associations émettant des obligations et régissent les personnes ou organes qui sont chargés de l’administration conformément aux statuts.

Celles qui sont relatives au conseil de surveillance d’une société ou à ses membres s’appliquent, s’il en existe, à l’organe collégial de contrôle et aux personnes qui le composent.
