Article L213-16 of the French Monetary and Financial Code

The decision to issue shares is taken by the general meeting of the association’s members on the basis of a reasoned proposal by the directors. The General Meeting also decides on the amount of the issue, the extent of its distribution, the subscription price of the securities and their remuneration or the methods of determining these elements. It may delegate to the directors, for a period not exceeding five years, the power to determine the other terms and conditions of the issue which, unless it decides otherwise, may be carried out on one or more occasions.

The General Meeting shall deliberate on all matters relating to the issue under the conditions required for amending the Articles of Association.

La décision d’émettre est prise par l’assemblée générale des membres de l’association sur la proposition motivée des dirigeants. L’assemblée se prononce également sur le montant de l’émission, l’étendue de sa diffusion, le prix de souscription des titres et leur rémunération ou les modalités de détermination de ces éléments. Elle peut déléguer aux dirigeants, pour une période qui ne peut excéder cinq ans, le pouvoir d’arrêter les autres modalités de l’émission qui, sauf décision contraire, pourra être réalisée en une ou plusieurs fois.

L’assemblée délibère sur toutes les questions relatives à l’émission dans les conditions requises pour la modification des statuts.
