Article L214-131 of the French Monetary and Financial Code

Notwithstanding articles L. 225-127 to L. 225-149-3 of the French Commercial Code, the Chairman of the Board of Directors or the Management Board of the SICAF may carry out a capital increase at any time under the conditions set out in the company’s Articles of Association.

A SICAF may not issue shares at a price lower than the net assets per share without offering them in priority to its existing shareholders.

Par dérogation aux articles L. 225-127 à L. 225-149-3 du code de commerce, le président du conseil d’administration ou du directoire de la SICAF peut procéder à tout moment à une augmentation de capital dans les conditions fixées par les statuts de la société.

Une SICAF ne peut émettre d’actions à un prix inférieur à l’actif net par action sans les proposer en priorité à ses actionnaires existants.
