Article L214-77 of the French Monetary and Financial Code

The redemption by the real estate investment trust of its units may be temporarily suspended by the management company when exceptional circumstances so require and if the interests of all unitholders so dictate, under conditions laid down in the general regulations of the Autorité des marchés financiers.

The general regulations of the Autorité des marchés financiers shall in particular determine the cases in which and the conditions under which the fund rules provide, where applicable, for the temporary suspension of the issue of units.

They shall also lay down the cases in which and the conditions under which the fund rules may provide, without prejudice to the provisions of Article L. 214-61-1, that the redemption of units is provisionally capped when exceptional circumstances so require and if the interests of unitholders or the public so dictate.

Article L214-77

Le rachat par le fonds de placement immobilier de ses parts peut être suspendu à titre provisoire par la société de gestion quand des circonstances exceptionnelles l’exigent et si l’intérêt de l’ensemble des porteurs de parts le commande, dans des conditions fixées par le règlement général de l’Autorité des marchés financiers.

Le règlement général de l’Autorité des marchés financiers fixe notamment les cas et les conditions dans lesquelles le règlement du fonds prévoit, le cas échéant, que l’émission des parts est suspendue de façon provisoire.

Il prévoit également les cas et les conditions dans lesquels le règlement du fonds peut prévoir, sans préjudice des dispositions de l’article L. 214-61-1, que le rachat de parts est plafonné à titre provisoire quand des circonstances exceptionnelles l’exigent et si l’intérêt des porteurs de parts ou du public le commande.
