I.-In companies whose shares are admitted to trading on a regulated market, the Ordinary General Meeting shall decide on a draft resolution relating to the information mentioned in I of Article L. 22-10-9.
Where the Ordinary General Meeting does not approve the draft resolution referred to in the previous paragraph, the Board of Directors or the Supervisory Board shall submit a revised remuneration policy, taking into account the shareholders’ vote, for approval at the next General Meeting. Payment of the sum allocated for the current financial year pursuant to the first paragraph of article L. 225-45 or the first paragraph of article L. 225-83 is suspended until the revised remuneration policy has been approved. When it is reinstated, it includes the arrears since the last general meeting.
When the General Meeting does not approve the draft resolution presenting the revised remuneration policy pursuant to the previous paragraph, the suspended sum may not be paid, and the same effects as those associated with disapproval of the draft resolution mentioned in the first paragraph apply.
II.-In companies whose shares are admitted to trading on a regulated market, the General Meeting shall decide on the fixed, variable and exceptional items making up the total remuneration and benefits of any kind paid during the past financial year or awarded in respect of the same financial year by separate resolutions for the Chairman of the Board of Directors or Supervisory Board, the Chief Executive Officer, the Deputy Chief Executive Officers, or for the Chairman of the Management Board and the other members of the Management Board or the sole Chief Executive Officer.
Variable or exceptional items of remuneration awarded in respect of the previous financial year to the chairman of the board of directors or supervisory board, the chief executive officer, the deputy chief executive officers, the chairman of the management board, the other members of the management board or the sole chief executive officer, may only be paid after approval by a general meeting of the items of remuneration of the person concerned under the conditions set out in the previous paragraph.
