Article L225-58 of the French Commercial code

The société anonyme is managed by a Management Board consisting of no more than five members. The composition of the Management Board shall endeavour to seek a balanced representation of women and men.

In sociétés anonymes whose capital is less than 150,000 euros, the functions vested in the Management Board may be exercised by a single person.

The Management Board shall exercise its functions under the control of a Supervisory Board. To this end, it determines a selection process that guarantees the presence of at least one person of each sex among the candidates until the end of the process.

La société anonyme est dirigée par un directoire composé de cinq membres au plus. La composition du directoire s’efforce de rechercher une représentation équilibrée des femmes et des hommes.

Dans les sociétés anonymes dont le capital est inférieur à 150 000 euros, les fonctions dévolues au directoire peuvent être exercées par une seule personne.

Le directoire exerce ses fonctions sous le contrôle d’un conseil de surveillance. Il détermine à cette fin un processus de sélection qui garantit jusqu’à son terme la présence d’au moins une personne de chaque sexe parmi les candidats.
