The Articles of Association must provide for an age limit for the performance of the duties of member of the Management Board or sole Managing Director which, in the absence of an express provision, is set at sixty-five years.
Any appointment made in breach of the provisions set out in the previous paragraph shall be null and void.
When a member of the Management Board or the sole Managing Director reaches the age limit, he shall be deemed to have resigned automatically.
A member of the Management Board or the sole Managing Director placed under guardianship shall also be deemed to have resigned automatically.
The nullity provided for in the second paragraph and the automatic resignation provided for in the third and penultimate paragraphs shall not entail the nullity of the deliberations and decisions in which the member of the Management Board irregularly appointed or deemed to have automatically resigned took part, nor the nullity of the decisions of the sole Managing Director irregularly appointed or deemed to have automatically resigned.
