The directors of the management company of a non-trading property investment company are liable to five years’ imprisonment and a fine of 375,000 euros if they:
1. Distribute fictitious dividends among the shareholders;
2. Publish or present inaccurate information to shareholders with a view to concealing the true situation of the company;
3. Making, in bad faith, use of the company’s assets or credit that they know to be contrary to the company’s interests, for personal purposes or to favour another company or business in which they are directly or indirectly involved;
4. To use, in bad faith, the powers they possess or the votes they hold in this capacity, in a manner they know to be contrary to the interests of the company, for personal ends or to favour another company in which they are directly or indirectly interested.
