Article L2312-49 of the French Labour Code

By way of derogation from article L. 2312-14, an employer who launches a public takeover bid for the capital of a company is not required to consult the social and economic committee prior to such launch.

However, the employer must convene a meeting of the social and economic committee within two working days of the publication of the offer, or of the announcement of the offer in the case provided for in article L. 2312-47 , in order to provide it with precise written information on the content of the offer and on the consequences in terms of employment that it is likely to entail.

Par dérogation à l’article L. 2312-14, l’employeur qui lance une offre publique d’acquisition portant sur le capital d’une entreprise n’est pas tenu de consulter le comité social et économique avant ce lancement.

En revanche, il réunit le comité social et économique dans les deux jours ouvrables suivant la publication de l’offre ou de l’annonce de l’offre dans le cas prévu à l’article L. 2312-47 en vue de lui transmettre des informations écrites et précises sur le contenu de l’offre et sur les conséquences en matière d’emploi qu’elle est susceptible d’entraîner.
