Article L2353-28 of the French Labour Code

Where no agreement has been reached and the special negotiating body has not taken the decision provided for in the second paragraph of Article L. 2352-13, employee participation in the European Company is governed by the following provisions:

1° In the case of a European Company formed by transformation, if there is a system of employee participation in the administrative or supervisory body prior to registration, all the elements of employee participation continue to apply to the European Company;

2° In the other cases of formation of a société européenne, and where employee participation within the companies participating in the formation of the société européenne reaches the thresholds set out in the third paragraph of Article L. 2352-13, the applicable form of employee participation in the board of directors or supervisory board, as the case may be, is determined after examination of the different national systems existing within each of the participating companies concerned prior to the registration of the société européenne.

Article L2353-28

Lorsque aucun accord n’a été conclu et que le groupe spécial de négociation n’a pas pris la décision prévue au deuxième alinéa de l’article L. 2352-13, la participation des salariés dans la société européenne est régie par les dispositions suivantes :

1° Dans le cas d’une société européenne constituée par transformation, s’il existe un système de participation des salariés dans l’organe d’administration ou de surveillance avant l’immatriculation, tous les éléments de la participation des salariés continuent de s’appliquer à la société européenne ;

2° Dans les autres cas de constitution d’une société européenne, et lorsque la participation au sein des sociétés participant à la constitution de la société européenne atteint les seuils fixés au troisième alinéa de l’article L. 2352-13, la forme applicable de participation des salariés au conseil d’administration ou au conseil de surveillance, selon le cas, est déterminée après examen des différents systèmes nationaux existant au sein de chacune des sociétés participantes concernées avant l’immatriculation de la société européenne.
