Where no agreement has been reached and the special negotiating body has not taken the decision provided for in the second paragraph of Article L. 2352-13, employee participation in the European Company is governed by the following provisions:
1° In the case of a European Company formed by transformation, if there is a system of employee participation in the administrative or supervisory body prior to registration, all the elements of employee participation continue to apply to the European Company;
2° In the other cases of formation of a société européenne, and where employee participation within the companies participating in the formation of the société européenne reaches the thresholds set out in the third paragraph of Article L. 2352-13, the applicable form of employee participation in the board of directors or supervisory board, as the case may be, is determined after examination of the different national systems existing within each of the participating companies concerned prior to the registration of the société européenne.
