Article L236-35 of the French Commercial code

A notice shall be drawn up by each of the companies involved in the cross-border merger informing the members, creditors and employee representatives or, failing that, the employees themselves that they may submit to it, up to five working days before the date of the general meeting, observations concerning the draft terms of cross-border merger.

This notice shall be filed with the registry of the commercial court at the registered office of the said companies, to be appended to the register of commerce and companies, and shall be publicised in the manner laid down by decree of the Conseil d’Etat.

Article L236-35

Il est établi un avis par chacune des sociétés participant à la fusion transfrontalière informant les associés, les créanciers et les délégués du personnel ou, à défaut, les salariés eux-mêmes qu’ils peuvent lui présenter, jusqu’à cinq jours ouvrables avant la date de l’assemblée générale, des observations concernant le projet de fusion transfrontalière.

Cet avis est déposé au greffe du tribunal de commerce du siège desdites sociétés, pour être annexé au registre du commerce et des sociétés, et fait l’objet d’une publicité dont les modalités sont fixées par décret en Conseil d’Etat.
